If you’re thinking of buying property in Bali, the first thing you have to determine is not what villa or location you want or what price range you’re working within, but rather whether you are dealing with a freehold or leasehold ownership.  

Most people make this mistake, not because they don’t pay attention, but because their agents try to confuse them with vague terminology. 

Leasehold Adalah: What This Term Actually Means 

"Leasehold adalah apa?" Or "What is leasehold?" is among the most frequently searched real estate phrases by Indonesian-speaking buyers and expats searching in Bahasa in Bali. 

The simple explanation goes like this: 

Leasehold refers to the use of land/property owned by another person within a specific timeframe. You don’t have ownership of the asset. What you have is the right to use the property over an agreed duration, usually between 25 and 30 years in Bali. When this period is completed, your rights to use that property automatically expire unless you renew the agreement in writing. 

In Indonesian property ownership, the concept of leasehold is known as Hak Sewa. The owner holds his/her Hak Milik during the process. Your name will not feature in the land title. Without being notarized, there’s very little legal backing for your leasehold agreement. 

What leasehold is not: 

  • It is not a form of ownership 

  • It is not automatically renewable 

  • It is not transferable without landowner consent (unless your contract specifies otherwise) 


Freehold in Indonesia: What It Actually Covers 

Freehold known as Hak Milik in Indonesia is the highest form of land title available under Indonesian law. It gives the holder permanent, inheritable ownership with no expiry date. 

The problem for foreign buyers: Hak Milik is exclusively reserved for Indonesian citizens. 

This is where freehold vs leasehold in Bali becomes more complicated than in most markets. In countries like the UK or Australia, a foreigner can buy freehold property outright. In Indonesia, they cannot. Full stop. 

When a listing in Bali says "freehold," read carefully. It usually means one of three things: 

  • The property is held under Hak Milik by an Indonesian citizen (a nominee arrangement illegal for foreigners to use) 

  • The property is held under HGB (Hak Guna Bangunan) through a PT PMA company structure 

  • The agent is using the term loosely and incorrectly 

Only the PT PMA + HGB route is legal. It's also more expensive and complex to set up, but it gives you an actual legally defensible position. 

Bali Leasehold Properties: What the Market Looks Like Right Now 

The majority of Bali's foreign property market operates on leaseholds. Walk through CangguSeminyak, or Ubud listings, and you'll find leasehold dominating for a simple reason: it's the path of least legal resistance for both sellers and buyers. 

Typical structure in Bali leasehold properties: 

  • Lease terms of 25–30 years, paid upfront as a lump sum 

  • Extension options written into the contract (or dangerously absent) 

  • Agreements in Indonesian (the legally binding version) with English translation 

  • Notarized through a PPAT (Land Deed Official) 

What the market doesn't advertise clearly: 

  • Many leases sold today already have 5–10 years eaten into them 

  • Extension rights are often "verbally agreed" rather than contractually locked in 

  • Inheritance complications arise when the original landowner dies and heirs challenge the terms

  • Setup costs typically ranging from $3,000–$8,000 USD depending on the consultant 

Anyone selling you a "freehold villa" through a nominee arrangement where an Indonesian holds title on your behalf is selling you an illegal structure with zero legal enforceability. 

Freehold vs Leasehold: Which Should You Choose? 

No single answer fits every buyer. Use this framework: 

Choose leasehold if: 

  • You want lower upfront complexity 

  • The lease term is long (25+ years remaining) with extension rights locked in writing 

  • The agreement is notarized, registered, and reviewed by an independent Indonesian lawyer 

  • You're treating it as an investment with a defined exit horizon 

Choose PT PMA + HGB (the closest to freehold) if: 

  • You plan to hold the property long-term 

  • You want to run a commercial villa or rental business 

  • You want stronger legal standing and the ability to mortgage or transfer the asset 

Avoid in both cases: 

  • Unregistered agreements 

  • Nominee structures 

  • Verbal extension promises 

  • Any agent who discourages you from hiring your own lawyer 

 

Before You Sign: The Non-Negotable Checklist 

  • Verify the land certificate type at BPN independently 

  • Hire an Indonesian property lawyer who is independent of the seller 

  • Read the Bahasa Indonesia version of the contract it overrides the English one legally 

  • Confirm the exact remaining lease term and extension clause in writing 

  • Check zoning classification not all land in Bali is cleared for villas or commercial use
